By accessing or using Slate ("the Service"), operated by Fontecha Creative Studios LLC ("we," "us," or "our"), you agree to be bound by these Terms of Service. If you do not agree to these terms, please do not use the Service.

Slate is an AI-powered preproduction workspace designed for YouTube creators. The Service provides tools for ideation, script writing, thumbnail creation, packaging, and media management to help creators plan and organize their video content.

3. Eligibility

You must be at least 13 years old (or 16 in certain jurisdictions) to use the Service. By using Slate, you represent that you meet this age requirement and have the legal capacity to enter into these terms.

4. Account Responsibilities

You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You agree to notify us immediately of any unauthorized use of your account. We are not liable for any loss or damage arising from your failure to protect your account information.

5. Acceptable Use

You agree not to:

Use the Service for any unlawful purpose or in violation of any applicable laws
Upload, transmit, or distribute content that infringes intellectual property rights
Upload malicious code, viruses, or harmful content
Attempt to gain unauthorized access to the Service or its systems
Use the Service to generate content that is defamatory, obscene, or harmful
Resell, redistribute, or sublicense access to the Service without authorization
Use automated systems to access the Service in a manner that exceeds reasonable use
Circumvent or disable any security features of the Service

6. Intellectual Property

Your Content

You retain ownership of all content you create using the Service, including scripts, ideas, and projects. By using the Service, you grant us a limited license to store, process, and display your content solely to provide the Service to you.

AI-Generated Content

Content generated by AI features (such as thumbnails, script suggestions, and titles) is provided for your use. You are responsible for reviewing and modifying AI-generated content before publishing. We do not claim ownership of AI-generated content created through your use of the Service.

Our Content

The Service, including its design, features, documentation, and underlying technology, is owned by Fontecha Creative Studios LLC and protected by intellectual property laws. You may not copy, modify, or distribute our proprietary materials without permission.

7. AI-Generated Content Disclaimer

AI-generated content is provided "as is" and may contain errors, inaccuracies, or inappropriate material. You are solely responsible for reviewing, editing, and verifying all AI-generated content before use. We do not guarantee that AI-generated content will be accurate, complete, or suitable for any particular purpose. AI-generated images and text may not be used to deceive, impersonate, or create misleading content.

8. Third-Party Services

The Service integrates with third-party services including YouTube, Dropbox, Google Drive, and AI providers. Your use of these integrations is subject to the respective third-party terms of service and privacy policies. We are not responsible for the availability, accuracy, or practices of third-party services.

9. Payment and Billing

Subscription Plans

Certain features require a paid subscription. Subscription fees are billed in advance on a recurring basis. You authorize us to charge your payment method for all fees incurred.

Credits System

AI features consume credits according to your plan. Credit usage is tracked per category (tokens, images, requests). Unused credits may expire according to your plan terms.

Cancellation

You may cancel your subscription at any time through your account settings. Cancellation takes effect at the end of your current billing period. We do not provide refunds for partial billing periods unless required by law.

10. Usage Limits and Fair Use

Each plan includes usage limits for AI features and API requests. We reserve the right to throttle or suspend access if usage significantly exceeds normal patterns or plan limits. We will notify you before taking such action when possible.

11. Service Modifications

We may modify, suspend, or discontinue any part of the Service at any time. We will provide reasonable notice of material changes when possible. We are not liable for any modification, suspension, or discontinuation of the Service.

12. Termination

We may terminate or suspend your access to the Service immediately, without prior notice, for conduct that we believe violates these Terms or is harmful to other users, us, or third parties, or for any other reason at our discretion. Upon termination, your right to use the Service ceases immediately. You may delete your account at any time, which will result in permanent deletion of your data.

13. Disclaimers

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR COMPLETELY SECURE.

14. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, FONTECHA CREATIVE STUDIOS LLC SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUES, WHETHER INCURRED DIRECTLY OR INDIRECTLY, OR ANY LOSS OF DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES RESULTING FROM YOUR USE OF THE SERVICE. OUR TOTAL LIABILITY SHALL NOT EXCEED THE AMOUNT YOU PAID US IN THE TWELVE MONTHS PRECEDING THE CLAIM.

15. Indemnification

You agree to indemnify and hold harmless Fontecha Creative Studios LLC and its officers, directors, employees, and agents from any claims, damages, losses, or expenses (including reasonable attorneys' fees) arising from your use of the Service or violation of these Terms.

16. Dispute Resolution

Any disputes arising from these Terms or your use of the Service shall first be attempted to be resolved through good-faith negotiation. If negotiation fails, disputes shall be resolved through binding arbitration in accordance with the rules of the American Arbitration Association, except that either party may seek injunctive relief in court for intellectual property matters.

17. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Florida, United States, without regard to its conflict of law provisions.

18. Changes to Terms

We reserve the right to modify these Terms at any time. We will notify you of material changes by posting the updated terms on this page and updating the "Last updated" date. Your continued use of the Service after changes become effective constitutes acceptance of the revised Terms.

19. Severability

If any provision of these Terms is found to be unenforceable, the remaining provisions shall continue in full force and effect.
